What we draft
The documents most businesses need
Some you need on day one. Others matter the first time you hire, raise money or let someone else use your brand.
-
Terms and conditions
The rules for buying from you or using your website or app: payment, delivery, liability and disclaimers.
-
Privacy policy
What personal data you collect, why you collect it, how you store it and who you share it with.
-
Confidentiality agreement
An NDA that keeps your ideas, data and client lists private when you have to share them.
-
Shareholders' agreement
How founders and investors share ownership, make decisions and exit.
-
Franchise agreement
The terms on which someone else may trade under your brand.
-
Other agreements
Service, vendor, employment and partnership agreements.
A website or app that collects personal data needs a privacy policy. Indian law, including the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023, sets out how that data must be handled.
Keeping it yours
What you get from Define IPR
-
Written around your business
We start from how your business works, not from a generic template.
-
Clear where disputes start
Payment, deadlines, ownership and how the arrangement ends are spelt out, not left to assumption.
-
Joined up with your IP
Where a document touches your trademark, your content or your know-how, it is written to protect them.
What every good document makes clear
- Who the parties are.
- What each side must do, and by when.
- What is paid, and when.
- Who owns the work and the intellectual property that results.
- What has to stay confidential.
- How the arrangement ends, and what happens then.
- How a dispute is resolved, and under which law.
One thing people miss
Many agreements have to be stamped before a court will rely on them, and the duty differs from state to state.
How it gets written

Before you decide
Legal documents, answered
Which legal documents does a new business need first?
Most businesses start with four: terms and conditions for what they sell, a privacy policy if they collect customer data, confidentiality agreements for staff and suppliers, and a founders' or shareholders' agreement if there is more than one owner.
Is a privacy policy mandatory for a website in India?
If your website or app collects personal data, in practice yes. The Information Technology Act, 2000 and its rules require businesses that handle sensitive personal data to publish a privacy policy, and the Digital Personal Data Protection Act, 2023 requires a clear notice of what data is collected and why.
Are online terms and conditions legally binding?
Yes, if the user has a clear chance to read them and actively agrees, for example by ticking a box. Electronic contracts are recognised under the Information Technology Act, 2000.
Can I use a template from the internet?
You can, but a template is written for someone else's business and often for another country's law. The clauses that matter most, on payment, liability, ownership and termination, are the ones that need to fit your business.
Do agreements need to be on stamp paper?
Most agreements need stamp duty paid under the stamp law of the state where they are signed. An unstamped agreement is still an agreement, but a court will not accept it as evidence until the duty and any penalty are paid.
How much does it cost to have a document drafted?
It depends on the document and how much of it is specific to your business. We quote the fee after a free consultation, before you commit to anything.
